APPLICATION LICENSE AGREEMENT

Water Lily Operations Automation — operated by Water Lily Learning Center, LLC

Effective June 19, 2026

 

This Agreement governs use of the Water Lily Operations Automation application

("Application"), an internal-use tool provided by Water Lily Learning Center, LLC

("Company"). By using the Application, you agree to these terms.

 

1. License. We grant a limited, non-exclusive, non-transferable, revocable license

to use the Application solely for the internal business operations of the Company

and its affiliated entities. It is not offered to the general public.

 

2. Permitted use. The Application may be used only to access, organize, and report

on business and financial data belonging to the Company and its affiliated

entities, including data from connected services such as QuickBooks Online and

Microsoft 365.

 

3. Restrictions. You may not copy, modify, distribute, sell, sublicense, or reverse

engineer the Application, use it to access data you are not authorized to access,

or use it in violation of any law or any connected service's terms.

 

4. Third-party services. The Application connects to third-party services including

Intuit QuickBooks Online, governed by their own terms. It accesses QuickBooks

Online data only with your authorization and only to perform the functions you

direct.

 

5. Intellectual property. The Application and all associated intellectual property

remain the exclusive property of the Company.

 

6. Disclaimer. The Application is provided "as is," without warranties of any kind.

We do not warrant that generated reports are free of inaccuracies; you are

responsible for verifying figures before relying on them.

 

7. Limitation of liability. To the maximum extent permitted by law, the Company is

not liable for any indirect, incidental, special, or consequential damages, or

loss of profits or data, arising from use of the Application.

 

8. Term and termination. This Agreement remains in effect until terminated. We may

suspend or terminate access at any time; on termination, you must cease all use.

 

9. Governing law. This Agreement is governed by the laws of the State of Ohio. Any

dispute shall be resolved in the state or federal courts in Hamilton County, Ohio.
